1. About these terms

These terms of service (the "Terms") govern your use of theravr.health (the "Site") and of the Thera VR software, content and related services (together, the "Services"), provided by Thera VR Inc. ("Thera VR," "we," "us" or "our"). By using the Site or the Services, you agree to these Terms. If you don't agree, please don't use them.

If you use the Services on behalf of a practice or organization, you confirm that you're authorized to accept these Terms for it, and "you" includes that organization.

2. Who the Services are for

  • The Services are designed for licensed mental health professionals, and for associates and trainees practicing under the supervision of a licensed professional, to use in their professional work.
  • You must be at least 18 years old and able to enter into a binding contract.
  • The Services are not intended to be bought or used directly by patients, children or families without a treating professional.
  • We may ask for information to confirm your eligibility, such as your license type and number, and we may decline or end access if we can't confirm it.

3. Professional responsibility and clinical disclaimer

Thera VR is a tool that supports a clinician's own work. It does not provide medical, psychological or other healthcare advice, diagnosis or treatment on its own, and it is not a substitute for professional judgment or care.

You remain solely responsible for every clinical decision. That includes deciding whether virtual reality is suitable for each client, obtaining any informed consent that's required (including from parents or guardians), supervising each session, and following the laws, licensing rules and professional standards that apply to you.

We don't promise any particular clinical outcome. Information on the Site, including descriptions of research, approaches and features, is general information and not professional advice.

4. Not for emergencies

The Site and the Services are not designed for crises or emergencies. If you or someone you're working with may be in danger, call 911 or your local emergency number. In the US, you can call or text 988 to reach the 988 Suicide & Crisis Lifeline.

5. Virtual reality health and safety

  • Virtual reality headsets can cause discomfort for some people, including motion sickness, dizziness, eye strain, headaches and disorientation, and in rare cases seizures in people who are sensitive to light.
  • Before using the Services with anyone, read and follow the headset maker's health and safety warnings and age guidance, screen each client for suitability, keep the play area clear of hazards, supervise every session, keep early sessions short and stop straight away if anyone feels unwell.
  • Children and teens should only use virtual reality under an adult's supervision and in line with the headset maker's age requirements.

6. Headsets, accounts and third-party platforms

  • Using Thera VR requires compatible hardware, such as a Meta Quest headset, and an account with the headset's platform. You obtain and maintain these yourself. Access may be given by invitation to an account you choose.
  • Third-party hardware, platforms and services, such as Meta, payment processors and scheduling tools, are governed by their own terms and privacy policies. We aren't responsible for them, including their availability, changes or how they handle information.
  • You're responsible for keeping your access and accounts secure and for activity under them. Please tell us promptly if you believe your access has been misused.

7. Your license to use the Services

Subject to these Terms and payment of any fees that apply, we grant you a limited, non-exclusive, non-transferable and revocable license to use the Services for your own professional purposes during your subscription. A license covers the individual or the number of users your plan includes. Access may not be shared, resold or sublicensed.

8. Subscriptions, free trials and payment

  • Plans, prices, what's included and any free trial are described at the time of purchase. Those details form part of your agreement with us for that purchase.
  • Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. If a free trial needs a payment method, it becomes a paid subscription when it ends unless you cancel first.
  • Payments are handled by a third-party payment processor. We don't receive or store your full card number.
  • Fees don't include taxes unless we say so. You're responsible for any taxes that apply.
  • We may change our prices or plans. We'll tell you before a price change affects an existing subscription, and you can cancel before it takes effect.
  • Cancellations and refunds are covered by our refunds and cancellation policy.

9. Billing, coding and reimbursement

We don't provide billing, coding or reimbursement advice. Any information on the Site about billing codes, insurance or payers is general background only and may be incomplete or out of date. You're solely responsible for your own coding, documentation and billing decisions, and for confirming them with the payers involved. We make no promise that any service using Thera VR will be paid for by any payer.

10. Client information

The Site, our email and our other general channels are not designed to receive information about your clients. Please don't send us client names, contact details, health information or anything else that identifies a client, unless we have agreed in writing how it will be handled. You're responsible for meeting the privacy, confidentiality and record-keeping obligations that apply to your practice.

11. Acceptable use

You agree not to:

  • use the Site or the Services for any unlawful purpose or in a way these Terms don't allow
  • copy, modify, distribute, sell or lease any part of the Services, or reverse engineer them or try to extract their source code, except where the law allows it
  • share access with anyone your plan doesn't cover
  • interfere with or disrupt the Site or the Services, or try to gain unauthorized access to them
  • use the Services to harm anyone
  • misrepresent your credentials or eligibility

12. Intellectual property

The Site and the Services, including the software, virtual environments, designs, text, graphics, logos and trademarks, are owned by us or our licensors and are protected by law. Apart from the license in section 7, these Terms don't give you any rights in them. If you send us feedback or suggestions, we may use them without any obligation to you.

13. Third-party links

The Site may link to third-party websites and content, such as articles, podcasts and scheduling pages. We don't control them and aren't responsible for them, and a link doesn't mean we endorse them or that they endorse us.

14. Disclaimer of warranties

To the fullest extent the law allows, the Site and the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy. We don't warrant that the Services will be uninterrupted, error-free, secure or compatible with any particular hardware, or that they will meet your needs or produce any particular result.

15. Limitation of liability

To the fullest extent the law allows, Thera VR and its officers, directors, employees, contractors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Site, the Services or these Terms, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability for all claims arising out of or relating to the Site, the Services or these Terms is limited to the greater of the amount you paid us for the Services in the 12 months before the event that gave rise to the claim, or US$100.

Some places don't allow some of these limitations, so they may not all apply to you.

16. Indemnity

You agree to defend, indemnify and hold harmless Thera VR and its officers, directors, employees and contractors from any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, the clinical services you provide and the decisions you make, your breach of these Terms, or your violation of any law or of anyone else's rights.

17. Suspension and termination

You can stop using the Services at any time and cancel as described in our refunds and cancellation policy. We may suspend or end your access if you breach these Terms, if we can't confirm your eligibility, if the law requires it, or if we stop offering the Services. The sections that by their nature should continue after termination will continue, including those on intellectual property, disclaimers, limitation of liability, indemnity and governing law.

18. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Before bringing a claim, you agree to contact us at support@theravr.health and try to resolve the dispute informally for at least 30 days. Any claim that isn't resolved that way will be brought only in the state or federal courts located in California, and both parties consent to their jurisdiction.

19. Changes to these terms

We may update these Terms from time to time. We'll post the new version here with a new "Last updated" date and, if the changes are significant, take reasonable steps to let subscribers know. If you keep using the Site or the Services after changes take effect, you accept the updated Terms.

20. General

These Terms, together with any terms shown at purchase and the policies they refer to, are the entire agreement between you and us about the Services. If any part of them is found unenforceable, the rest stays in effect. If we don't enforce a provision, that isn't a waiver of it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets. Neither party is responsible for delays caused by events beyond its reasonable control.
